GENERAL
Legal form and registered office
1. Name: Dragon Trove
2. Legal form: Non-profit association.
3. The Dragon Trove Association refers to Art. 60 and following of the Swiss Civil Code for its articles of association and adds up the details that it deems necessary for its management.
4. The headquarters of the association are in Switzerland and its address is determined by the executive committee.
5. The duration of the association is indefinite.
Goal
The association aims to promote, participate and organize ludic activities.
ORGANIZATION
Executive committee
The administration of the association is entrusted to a committee which ensures the management of its assets and projects.
1. The committee takes all decisions useful for the proper functioning of the association, these decisions are taken by a simple majority.
2. In the event of a tie vote on the committee, the president has the casting vote.
General Assembly
Powers and convening
1. The general assembly is the supreme power of the association.
2. It is convened by the Executive Committee.
3. The meeting takes place once a year and, by law, when one fifth of the members so requests.
Competencies
1. The general assembly decides on the admission and exclusion of members, appoints the executive committee and regulates matters that are not the responsibility of other corporate bodies.
2. It supervises the activity of the corporate bodies and may dismiss them at any time, without prejudice to their rights recognized by agreement.
3. The power to revoke exists by this articles when it is exercised for just cause.
Decisions
Shape
1. The association's decisions are taken at the general assembly.
2. The proposal to which all the members have adhered in writing is equivalent to a decision of the general assembly.
Voting rights and majority
1. All members have an equal right to vote in the general assembly.
2. Decisions are taken by simple majority of the votes of the members present.
a. In the event of a tie, the president has the right to vote on the decision.
3. Decisions can be taken outside the agenda if the item is added at the beginning of the meeting.
Disenfranchisement
Every member is, by law, deprived of his or her right to vote in decisions relating to a case or a lawsuit of the association, when he/she or his/her spouse or relatives or relatives in the direct line are parties to the proceedings.
Direction
Rights and duties in general
1. The Executive Committee has the right and the duty to manage the affairs of the Association and to represent it in accordance with the articles.
2. The association may be represented by a person domiciled in Switzerland under a proxy of the executive committee. This person must have access to the list of members.
Accounting
The executive committee keeps the books of the association. The provisions of the Swiss Code of Obligations relating to commercial accounting and the presentation of accounts shall apply mutatis mutandis.
1. The accounting year begins on 1 January of a year and ends on 31 December of the same year.
2. Resources
The association's resources include:
a. Membership Fees
b. Donations and legacies
c. Grants from private or official bodies
d. Event revenues
e. Equipment acquired in the name of the association
f. Income from the sale of the association's merchandising
Auditors
1. The association must submit its accounts to the ordinary audit of an auditor if, in the course of two successive financial years, two of the following values are exceeded:
Balance sheet total: 10 million swiss francs;
Turnover: 20 million swiss francs;
Staff: 50 full-time jobs on average per year.
2. The association must submit its accounts to the limited control of an auditor, if a member of the association who is individually responsible or required to make additional payments so requires.
3. The provisions of the Swiss Code of Obligations concerning the auditor of the public limited company shall apply mutatis mutandis.
4. In other cases, the articles of association and the general assembly may organise the audit freely.
a. The freely organized control is carried out by the executive committee or a person delegated by the committee.
Members
Any adult and independent person can be a member.
Entry and exit
1. The association may receive new members at any time.
a. All applications for admission are subject to the approval of the Executive Committee.
2. Each member is authorized by law to leave the association, provided that he announces his exit six months before the end of the calendar year, which is equivalent to the administrative exercise.
3. The status of member is inalienable and does not pass to the heirs.
Contributions
1. Members of the association are obliged to pay CHF 50,00.- per calendar year.
2. The cost of membership is not prorated or carried over to the following year in the event of in-year membership.
Exclusion
1. The Executive Committee may decide to exclude or suspend one or more members for just cause.
2. Any previous year member who has not paid the current year's membership fee is automatically excluded from the association.
3. The grounds on which the exclusion was pronounced may not give rise to legal action.
Effects of exit and exclusion
1. Departing or expelled members lose all rights to the association.
2. They owe their share of contributions for the time they were members.
Protection of the social purpose
The transformation of the social purpose cannot be imposed on any member.
Protection of members' rights
Any member is authorised by law to take legal action, within one month from the day on which he or she became aware of them, against decisions to which he or she has not adhered and which violate legal or statutory provisions.
Responsibility
The association alone is responsible for its debts, which are guaranteed by its social fortune.
Dissolution
By decision of the association
The association may decide to dissolve it at any time.
By law
The association is dissolved by operation of law when it is insolvent or when the executive committee can no longer be constituted by statute.
By judgment
Dissolution is pronounced by the judge, at the request of the competent authority or of an interested party, when the purpose of the association is unlawful or contrary to morals.
Cancellation of registration
After its entry in the commercial register, the dissolution of the association is declared by the executive committee or by the judge to the official responsible for striking off.
